Corporate Transparency Act
BENEFICIAL OWNERSHIP REPORT QUESTIONNAIRE
The Corporate Transparency Act (CTA) went into effect on January 1, 2024. It was created to combat illicit activity including tax fraud, money laundering, and financing for terrorism by capturing more ownership information for specific U.S. businesses operating in or accessing the country’s market.
Although the legislators’ intent was to make it more difficult to operate anonymous shell companies for criminal or tax evasion purposes, the broad net it casts means that, for the first time in history, there are now federal reporting requirements for small companies that will require the collection and reporting of ownership information. The federal government will now have a database of beneficial ownership information for unregulated entities that is available to government authorities for law enforcement purposes.
Unless one falls into an exception, the CTA impacts large companies, small companies or mom-and-pop shops the same.
